Terms of Service

1. Parties and scope

These terms govern all projects and services delivered by Rytcher, Eslöv, Sweden ("Rytcher") to the client named in the project agreement ("Client"). By signing a project agreement or paying a deposit, the Client accepts these terms.

2. Governing law and disputes

These terms are governed by Swedish law. Any dispute that cannot be resolved by negotiation shall be submitted to Malmö tingsrätt as the court of first instance.

3. Intellectual property

All deliverables (code, design files, brand assets) remain the property of Rytcher until payment is received in full. Upon receipt of full payment, the Client receives full ownership of the deliverables. Rytcher retains the right to display completed work in its portfolio unless the Client requests otherwise in writing before project completion.

4. Payment terms

50% of the agreed project fee is due before work begins. The remaining 50% is due on delivery. For projects above 50,000 kr, payments may be split into 3–4 milestones as agreed in writing. Invoices are due within 14 days. Late payments accrue interest at the rate specified in the Swedish Interest Act (räntelagen).

5. Change orders

The project scope is defined in the written project agreement. Changes to scope (additional pages, new features, significant revisions beyond the included revision rounds) require a written change order with agreed cost before work begins. Small changes within included revision rounds are covered by the project fee.

6. Cancellation

If the Client cancels a project after work has begun, all work completed to date is billed at the agreed day rate. The deposit is non-refundable. If Rytcher cancels a project (which we will only do under exceptional circumstances), any deposit paid for uncompleted work is refunded in full.

7. Client responsibilities

The Client is responsible for: providing timely feedback within agreed deadlines (typically 5 business days per review round); supplying brand assets, copy, and access to existing tools/accounts required for the project; ensuring any content provided does not infringe third-party rights. Delays caused by the Client may extend the project timeline and, if significant, may be subject to a revised quote.

8. Limitation of liability

Rytcher's total liability to the Client under or in connection with a project is capped at the total amount paid by the Client for that project. Rytcher is not liable for indirect or consequential losses, including loss of revenue, loss of data, or third-party service outages (hosting, payment processors, APIs, etc.).

9. Post-launch support

Every project includes a 30-day post-launch support window covering bug fixes directly attributable to the delivered work. After 30 days, ongoing support and maintenance are available under a separate care plan agreement, billed monthly. Ongoing ad-hoc work is billed at 1,500 kr/hour.

10. Confidentiality

Both parties agree to keep confidential any non-public information shared during the project. This obligation continues for 2 years after project completion.

Note on legal review

These terms are a starting point drafted in good faith. Rytcher recommends that a Swedish IT/contracts lawyer reviews and adapts these terms before they are relied upon in a formal client relationship.
